Terms of Business

  • The consultancy undertakes to use all reasonable endeavours to supply the best possible service using its resources, talents and facilities within agreed time and budget constraints.
  • Consultancy fees for the agreed services shall be confirmed in writing and are payable monthly within 14 days of the invoice. Any variation to agreed fees are subject to two months written notice unless the client and the consultancy mutually agree to bring forward the date on which fee payments should change.
  • The arrangements including the consultancy fee will be reviewed after an official period of three months by which time both parties will have established an effective working relationship and the nature of the workload can be assessed. Any changes to fees at that time would require the agreement of both parties. Thereafter, fees will be subject to periodic reviews depending on the programme of activities and the prevailing rate of inflation.
  • All out-of-pocket expenses, operational costs and disbursements incurred by the consultancy on behalf of the client will be agreed by both parties in advance and will be invoiced by the consultancy at cost to the client.
  • Unless otherwise stated, all estimates and fees as outlined in schedule of fees are exclusive of GST.
  • All invoices are payable within 14 days of the invoice date.
  • All recommendations, proposals and reports submitted by the consultancy to the client shall be confidential to the client and shall not be disclosed to a third party without the written permission of the consultancy.
  • The client undertakes to ensure that any information supplied by the client to the consultancy in connection with the consultancy's services will be accurate and in no way misleading. The client shall indemnify the consultancy, and keep it indemnified, against all costs, claims, , damages, demands and expenses which may be incurred by, or made against, the consultancy, its officers and employees, by any third party arising from work performed by the consultancy in accordance with the client's brief based on information supplied by the client.
  • The consultancy shall not be liable for any failure or delay in the supply of its services caused by any acts of force majeure or any dispute, fire, accident, civil commotion, government action, default or failure of subcontractor of suppliers, or any other cause beyond its control. The consultancy shall not be liable for any consequential loss by the client. The liability of the consultancy on any other account shall be limited to the amount of the consultancy's charges to the client in respect of the matter in question.
  • Any materials made available to the consultancy by the client shall be held at the client's risk and the consultancy shall not be held liable for any loss or damage to such materials however caused. All materials held on behalf of the client by the consultancy will be looked after and protected in an appropriate and responsible manner.
  • Any property of the client left in the consultancy's possession six months after the termination of the contract may be destroyed or otherwise disposed of provided that the client shall be given not less than 14 days written notice at the last known address to enable such property to be reclaimed.
  • These terms of business shall not be varied, waived or modified except in writing under the hand of duly authorised executive of the consultancy.
